Slaughter and May is advising Malaysian Airports Holdings Berhad (MAHB) in the exercise of its rights of first refusal in respect of the proposed acquisition of a 40% equity stake in Istanbul Sabiha Gokcen Uluslararası Havalimanı Yatırım Yapım ve Isletme A.S. (the company which manages operations at Sabiha Gokcen Airport) and LGM Havalimanı Isletmeleri Ticaret ve Turizm A.S. (the company which establishes and manages hotels, lounges and food and beverage facilities at Sabiha Gokcen Airport) from the GMR Group for a total cash consideration of EUR225 million.
The acquisition is to be partly financed via the proceeds of a private placement of shares in MAHB.
Sabiha Gokcen Airport is the hub of Pegasus Airlines. It is one of the two international airports serving Istanbul and is located in the Asian side of the city. Passenger traffic at Sabiha Gokcen Airport in 2012 was 14.87 million and is expected to reach 18 million in 2013.
